1.定义

2.接受

3.价格

4.付款
（a）除非报价中其他地方另有说明，付款或合同提供的任何阶段付款的支付均应在AMA发票之日的30天内进行。
(b) Notwithstanding AMA’s rights under condition 9 hereof , if the Purchaser fails to make any payment within 30 days after the same shall have become due AMA shall have the right by notice in writing forthwith to suspend all further work or deliveries until such default be made good without prejudice to any other rights or remedies which may be available to AMA.
(c) If the Purchaser should fail to take delivery of the Articles AMA shall be entitled forthwith to invoice for the Articles and payment shall be due thereon as if delivery had been made notwithstanding AMA’s right of lien (including lien for storage or demurrage charges).
5.所有权

6.交货
(a) Unless otherwise stated elsewhere in the Quotation AMA shall deliver the Articles FCA or to the Purchaser’s address if in Australia, whichever alternative is specified in the Purchaser’s acceptance of the Offer or, if none, whichever alternative AMA deems at its discretion to be the most appropriate. The risk in the Articles shall pass to the Purchaser on delivery.

8.保修

(d) Where a repair or a replacement of an Article is accepted by AMA as a valid warranty claim AMA shall reimburse the Purchaser’s reasonable transportation costs of returning the defective Article, and the repaired or replacement Article shall be delivered to the Purchaser at AMA’s expense and risk. Ownership of any Articles replaced hereunder shall re‑vest in AMA.

9.终止
如果购买者应违约或违反任何一项违约，以下任何一项义务，或者是否应对购买者或其财产或资产征收任何困扰或处决，或者是否应做出或提出任何安排or composition with creditors or commit any act of bankruptcy, or if any petition or receiving order in bankruptcy shall be presented or made against the Purchaser or if the Purchaser shall be a company and any resolution or petition to wind up such company’s business shall be passed or presented otherwise than for reconstruction or amalgamation or if a receiver of any such company’s undertaking, property or assets or any part thereof shall be appointed AMA shall have the right forthwith to determine the contract in whole or in part upon written notice being given to the Purchaser or delivered to the Purchaser’s last known address without prejudice to any claim or right which AMA may make or exercise.
10.海外客户或最终用户
（a）AMA向海外购买者和从其中造成的任何合同的任何报价都是由适当当局授权的出口清算的条件。
（b）购买者根据合同应向AMA支付的款项的任何非AU税，税或其他税款都将用于购买者的帐户。
11.可原谅的延迟
AMA shall not be in default by reason of any failure to perform its obligations hereafter if such failure arises by reason of any event beyond AMA’s reasonable control including but not limited to acts of God, war, fire, flood, strikes, riots or civil commotion, sabotage, action of any government or any act of omission of the Purchaser or of a third party. AMA undertakes to advise the Purchaser at the earliest opportunity if such a situation arises and is likely to affect AMA’s performance hereafter, and AMA shall take all reasonable steps to minimize the effects of such delay.
12.知识产权

13.责任限制

14.专利赔偿
（a）关于侵犯专利或与文章任何部分有关的任何其他知识产权的侵犯，AMA的责任应仅限于我们供应商设计的物品，仅与侵犯我们的供应商专利有关。In the event of such infringement AMA’s obligations shall be limited to (at AMA’s option) either replacing the infringing item by a non‑infringing item, or securing at its own cost a licence permitting use of said item by the Purchaser (or end user, as applicable) without infringement, or paying a sum of money to the Purchaser in compensation for loss of use, such amount not to exceed the original contract price of the said item.
（b）据法律而言，AMA应允许购买者从供应商那里获得的任何供应商收到的救济或赔偿金的利益，而不是我们供应商设计的任何侵权商品。

15.分包
AMA保留分包合同或其任何部分合同的权利。
16.留置权
In addition to any right of lien to which AMA may by law be entitled, AMA shall in the event of the Purchaser’s insolvency be entitled to a general lien on all items in AMA’s possession (notwithstanding that such items or any of them may have been paid for) for the unpaid price of any other items sold and delivered to the Purchaser by AMA under the same or any other contract.
17.豁免
AMA行使任何权力或权利的任何失败，延迟或放纵，以下任何权力或权利都不应作为免除此类权力或权利或以后行使任何其他权利或补救措施的权利。
18.通知
如果出于此目的，或者在没有此类通知的情况下，发送给AMA的地址已将地址发送到AMA最终已知的购买者的地址，则任何通知或其他沟通都足够。
19.法律
合同的建设，有效性和绩效应由澳大利亚法律管辖。
20.一般
如果此处的任何条款或条件在法律运作的结果上是非法或无效的，则此处的其余规定应保持全部效力和效力。
